Change of Registered Office

Shift your registered office — within a city, between cities, or between states — with the right approvals.

Overview

Changing the registered office

Every company must have a registered office where notices and communications are sent. Changing it requires different approvals depending on how far it moves — the simplest within the same city, the most involved across state lines, which needs Regional Director approval.

The firm identifies the right route, secures the approvals, and files the changes, then updates the address on every record.

Scope

The three routes

Within the same city / ROC

  • Within the same city, town, or village — board resolution and INC-22
  • To another city under the same ROC — special resolution, MGT-14, and INC-22

Across ROC / state

  • To another ROC within the state — Regional Director approval (INC-23) plus filings
  • From one state to another — MOA amendment, RD approval (INC-23), and filings

FAQs

Frequently asked questions

  • Is moving the office within the same city simpler?

Yes. A move within the same city, town, or village needs only a board resolution and INC-22. Longer moves need members' approval and, across states or ROCs, Regional Director approval.

  • Can I shift my registered office to another state?

Yes, but it requires amending the MOA and obtaining Regional Director approval (INC-23), with publication and consent formalities. We manage the whole process.

  • How long does it take?

A same-city move takes days; an inter-state move can take a couple of months because of the RD-approval process.
