Company Name Change
Change your company's name with member and ROC approval — and update every record that follows.
Changing a company's name
A company can change its name with the approval of its members by special resolution and the Registrar of Companies. The change does not create a new company — the entity, its PAN, and its obligations continue — but the name on every record must be updated.
The firm manages the approval and filings, and then the often-overlooked task of updating the name across PAN, GST, bank accounts, licences, and stationery.
How the change works
- 01
Check name availability
Confirm the proposed name is available and not identical to an existing company or trademark (RUN).
- 02
Board & special resolution
Pass a board resolution and then a members' special resolution approving the change.
- 03
File with the MCA
File MGT-14 for the resolution and INC-24 for central-government approval of the change.
- 04
Fresh certificate
On approval, the ROC issues a fresh certificate of incorporation with the new name.
- 05
Update records
Alter the MOA/AOA, and update PAN, GST, bank, licences, and stationery.

Frequently asked questions
Does changing the name create a new company?
No. The company, its CIN-linked identity, PAN, and all its rights and obligations continue — only the name changes.
Do I need members' approval?
Yes. A name change requires a special resolution of the members and central-government (ROC) approval.
How long does it take?
Typically about two to three weeks, subject to name approval and MCA processing, plus time to update downstream records.
